Davis Polk advised Tereos in connection with its acquisition of Napier Brown Sugar Limited, a wholly owned subsidiary of UK AIM-traded Real Good Food plc. Following approval of the shareholders of Real Good Food as required under the UK AIM Rules, the transaction completed on May 19, 2015. As consideration for the acquisition, Tereos paid GBP34 million plus working capital in cash at completion.
